Our offering spans the private markets universe and provides access to unique capabilities across private debt and credit alternatives, real estate equity, private equity, and infrastructure equity. /ppThe firm has deep expertise in creating bespoke solutions for institutional clients and is committed to providing scalable capabilities across the spectrum of risk, return and sustainability and impact objectives. /ppSupported by the resources, experience, and institutional framework of one of the world’s leading asset managers, Schroders Capital is dedicated to helping investors achieve their goals and is at the forefront of product innovation to meet the evolving needs of investors. /ppWe see our role as being a driver of positive change drawing on deep skills to select, acquire, and improve the assets we own. /ppbrstrongPosition Overview /strong /ppAs the Senior Tax Counsel, Schroders Capital Private Equity, XXX is responsible for tax withing the Private Equity business of Schroders Capital and reports to the Head of Tax, Clients and Structures at Schroders Capital, with a dotted line to the SCPE Management Committee. /ppstronguWhat you will do /u /strong /ppuProduct Structuring: /u /ppDevelop tax-efficient and tax-neutral investment structures, including proposals for setting up Special Purpose Vehicles (SPVs) as needed. /ppAdopt a multidisciplinary approach, collaborating with Product Management, Legal Regulatory, Investment Management, Operations, and Group Tax. /ppManage tax obligations across all product companies, carry vehicles, and taxes including Corporate Income Tax (CIT), Withholding Tax (WHT), Transfer Pricing (TP), and Value Added Tax (VAT). /ppuTax Due Diligence on Investments: /u /ppConduct an integrated analysis encompassing investments, funds, and investors; ensure tax compliance and efficiency. /ppDesign investment strategies focused on capital gains and mitigation of withholding taxes. /ppAim to avoid local tax filing obligations for Schroder's private equity and our investors. /ppFacilitate SPV setups, side letter drafting, negotiations, and implement Most Favoured Nation (MFN) elections. /ppuTax Compliance: /u /ppOversee external tax consultants managing tax compliance processes, including partnership tax returns, investor tax reporting and SPV tax returns. /ppReview tax returns and reports for various jurisdictions, including Germany, US, Luxembourg, UK, and others. /ppHandle US tax reporting requirements. /ppEnsure accurate SPV tax reporting in jurisdictions such as UK, Luxembourg, Mauritius, and the Netherlands. /ppNavigate potential tax audits. /ppstronguWhat we’re looking for (experience capabilities) /u /strong /ppQualified lawyer (or equivalent legal qualification) with significant post-qualification experience intax law, ideally with a strong focus onPrivate Equityand alternative investments. /ppDemonstrable experience advising on: /ppFund structuring and fund documentation from a tax perspective /ppCross-border investment structures and SPVs /ppTransaction support (buy-side/sell-side), including tax diligence and structuring /ppExperience working across multiple jurisdictions (e.g., UK/EU, Switzerland, Luxembourg, Ireland, US structures) and coordinating external counsel. /ppAble to deliver clear recommendations under time pressure, balancing technical rigour with pragmatic solutions. /ppStrong ability to explain complex tax issues to non-specialists; confident influencing senior collaborators. /ppComfortable operating in a regulated financial-services environment with strong attention to controls, documentation and audit trail. /ppProven ability to work effectively with investment teams, finance, compliance, risk, and operations. /ppFluent English required; additional European languages are an advantage. /ppstrongWe recognise potential, whoever you are /strong /ppOur purpose is to provide excellent investment performance to clients through active management. pSchroders is a leading provider of active asset management, advisory and wealth management services and is widely recognised as a leader in sustainability.
